Terms of Service

1. Agreement

These Terms of Service ("Terms") are a binding agreement between you and SmartLink Basics, LLC ("CachePix," "we," "us"), the developer and operator of the CachePix desktop applications (macOS and Windows), mobile applications (iOS and Android), account service, and website (together, the "Service"). By downloading, installing, or using the Service, you agree to these Terms and to our Privacy Policy. If you don't agree, don't use the Service.

2. What CachePix is

CachePix is a local-first photo cataloging tool. The desktop app catalogs photos stored on your own drives and syncs a catalog of previews and metadata to your phone over your own local network. Your original files remain on your devices; CachePix reads them and does not upload them to us. The Service depends on your own hardware, drives, and network, which you are responsible for maintaining.

3. Eligibility and account

You must be old enough to form a binding contract in your jurisdiction to use the Service. You sign in with your email and a one-time code. You are responsible for maintaining access to the email account you use and for activity under your CachePix account. Notify us promptly of any unauthorized use.

4. Subscriptions, free trial, and billing

• Purchased through the app stores. Subscriptions and the lifetime purchase are sold and billed through Apple's App Store or Google Play using their in-app purchase systems. Your purchase is also subject to the app store's terms.
• Plans. We currently offer a Monthly subscription, an Annual subscription, and a one-time Lifetime purchase. One subscription or purchase unlocks the phone and desktop apps for your account.
• Free trial. New subscribers to the monthly or annual plan may receive a 14-day free trial. Unless you cancel at least 24 hours before the trial ends, it automatically converts to a paid subscription at the then-current price.
• Auto-renewal. Subscriptions renew automatically at the end of each billing period unless you turn off auto-renew at least 24 hours before the period ends. Manage or cancel your subscription in your Apple or Google account settings.
• Refunds. Payments are processed by Apple and Google, and refunds are handled under their policies. We do not separately process card payments and cannot issue app-store refunds directly.
• Price changes. We may change prices for future billing periods; the app stores will notify you as required and, where required, seek your consent before a renewal at a new price.

5. License

Subject to these Terms and an active entitlement (trial, subscription, or lifetime purchase where required), we grant you a personal, limited, non-exclusive, non-transferable, revocable license to install and use the Service on devices you own or control. You may not copy, modify, distribute, sell, lease, reverse-engineer, or attempt to extract the source code of the Service except to the extent that restriction is prohibited by law.

6. Your content and your responsibilities

Your photos and files are yours. CachePix does not claim ownership of them and does not receive them. You are solely responsible for the content you catalog and for ensuring you have the rights and permissions necessary to store, catalog, and view it. In particular, where names or facial data are associated with photos in your library, you are responsible for obtaining any consent required by applicable biometric and privacy laws for the individuals depicted (see our Biometric Data Policy). You are also responsible for maintaining your own backups; CachePix is a catalog and viewer, not a backup service.

7. Acceptable use

You agree not to use the Service to catalog or distribute content you don't have the right to use, to violate any law, to infringe others' rights, or to interfere with or attempt to gain unauthorized access to the Service, its account systems, or others' devices.

8. Intellectual property

The Service, including its software, design, and the CachePix name and logo, is owned by SmartLink Basics, LLC and protected by intellectual-property laws. These Terms grant you no rights in our trademarks or branding.

9. App stores

Your use of the mobile apps is also subject to the terms of the store you obtained them from. For iOS, the standard Apple Licensed Application End User License Agreement applies in addition to these Terms; where the two conflict as to the app itself, the Apple EULA governs the license to the app. Apple and Google are not parties to these Terms and are not responsible for the Service.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or that it will catalog, sync, or display every file correctly. Because the Service runs on your own hardware and network, its performance depends on factors outside our control.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SMARTLINK BASICS, LLC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, PHOTOS, PROFITS, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID FOR THE SERVICE IN THE 12 MONTHS BEFORE THE CLAIM OR US 0. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

12. Indemnification

You agree to indemnify and hold harmless SmartLink Basics, LLC from claims arising out of your content, your use of the Service, or your violation of these Terms or of any law or third-party right, including biometric-consent obligations.

13. Termination

You may stop using the Service and delete the apps at any time. We may suspend or terminate your access if you breach these Terms or if required by law. Provisions that by their nature should survive termination (including Sections 6, 8, 10, 11, 12, and 15) will survive.

14. Changes

We may modify the Service or these Terms. If we make material changes to these Terms, we will update the "Last updated" date and, where appropriate, provide notice. Continued use after changes take effect means you accept them.

15. Governing law

These Terms are governed by the laws of the State in which SmartLink Basics, LLC is organized, without regard to conflict-of-laws rules, and you agree to the exclusive jurisdiction of the state and federal courts located there, except where applicable law provides otherwise.
